Service and Priority Replacement Program

Acceptance of Terms

By purchasing, renewing, or using the STURDX Extended Protection Plan, you acknowledge that you have read and agree to these Terms and Conditions. Purchase of the plan constitutes full acceptance. No physical signature is required.

Nature of the Plan

This Protection Plan is a service and support agreement intended to reduce equipment downtime through priority support and replacement logistics.

This plan is not an insurance policy and does not provide indemnification or reimbursement for loss, liability, theft, or external disasters.

This plan does not extend or replace the STURDX standard limited product warranty.

Definitions

Covered Unit: The specific STURDX product listed on the Protection Plan invoice.

Incident: A field event affecting the condition or operability of the Covered Unit.

Non-functional: The Covered Unit cannot perform its intended function after basic troubleshooting.

Advanced Replacement: A replacement shipment issued before the original unit is received back.

Eligibility

The plan may be purchased with new equipment or within 30 days of delivery. Coverage applies only to the Covered Unit(s) listed on the invoice.

Term and Renewal

Coverage period is 12 months from the plan purchase date and may be renewed annually. Benefits end when the term expires.

Services Provided (Commercially Reasonable Efforts)

STURDX will use commercially reasonable efforts to provide:

* Priority technical support and diagnostics

* Priority service case handling

* Repair or replacement pathway for Non-functional units

* Logistics coordination for replacement shipments and returns

* Discounted replacement option for Incidents or non-covered situations, as described below

All service outcomes, including whether to repair, replace, or offer discounted replacement, are determined by STURDX at its sole discretion based on technical review and product availability.

Replacement and Discounted Replacement

6.1 Replacement Pathway for Non-Functional Units

If a Covered Unit becomes Non-functional due to normal use or component failure during the plan term, STURDX may, at its sole discretion, provide repair or replacement of the unit to restore functionality. Replacement units may be new or refurbished units of equal or greater functionality.

6.2 Discounted Replacement Option (30%) for Incidents or Non-Covered Situations

If a Covered Unit is affected by an Incident or a situation not included in the standard warranty or replacement pathway, the Customer may purchase a replacement unit at a 30% discount from the current list price, subject to STURDX review and approval.

This discounted replacement option is intended for situations such as physical or field damage and other non-covered scenarios. It is not a guarantee of free replacement.

To qualify, Customer must return the original unit to STURDX when requested and provide reasonable documentation (such as photos/video). Eligibility and availability are determined after technical review.

Limit: One discounted replacement per Covered Unit per 12-month plan term.

Shipping and Replacement Logistics

7.1 Outbound Shipping for Approved Replacements (Contiguous United States)

STURDX will cover standard outbound shipping for approved replacement units within the contiguous United States.

7.2 Return Shipping of Original Unit

Customer is responsible for packaging and return shipping of the original unit to STURDX unless STURDX agrees otherwise in writing.

7.3 Freight and Accessorial Charges

Liftgate service, appointment delivery, limited access delivery, pallet freight services, expedited shipping, re-delivery fees, and other accessorial charges are the responsibility of the Customer unless stated otherwise on the invoice.

7.4 International Shipments

For shipments outside the United States, Customer is responsible for duties, taxes, brokerage fees, and international freight costs unless stated otherwise in writing.

7.5 Advanced Replacement Deposit and Return Window

For Advanced Replacement shipments, STURDX may require a refundable deposit or credit card authorization. The original unit must be returned within 30 days of the replacement shipment date unless STURDX confirms a different window in writing. The deposit may be charged if the unit is not returned on time or is returned incomplete.

Claim and Service Request Process

Customer must provide order reference, Covered Unit identification (and serial number if applicable), description of the issue, and photos/video when requested.

Incidents should be reported within 10 calendar days of discovery.

STURDX may require troubleshooting steps or inspection prior to approving replacement or discounted replacement.

Exclusions

This plan does not include:

* Misuse, abuse, negligence, or improper installation

* Operation outside STURDX documentation and specifications

* Unauthorized modifications or non-authorized repairs

* Fire, flood, lightning, theft, or large-scale external disasters

* Cosmetic wear that does not impact function

* Third-party products or accessories not sold by STURDX

* Loss of data, revenue, profits, business interruption, or downtime costs

Availability and No Guaranteed Timelines

All services are subject to product availability, parts availability, supply chain conditions, and carrier performance. Service and shipping times are not guaranteed.

Abuse, Fraud, and Misuse

STURDX may deny requests or cancel the plan for suspected fraud, misuse, or repeated abuse of the service process.

Limitation of Liability

To the maximum extent permitted by law, STURDX is not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, loss of data, or business interruption.

STURDX’s total liability under this Agreement will not exceed the amount paid for the Protection Plan for the affected Covered Unit during the current term.

Transfer and Relocation

This plan applies only to the original purchaser and original installation location unless approved in writing by STURDX. If a Covered Unit is relocated, Customer must notify STURDX. STURDX may require re-verification of condition.

Cancellation and Refunds

Plan fees are non-refundable once coverage begins, unless required by law. Non-payment voids plan benefits. STURDX may cancel the plan for fraud or misuse.

Force Majeure

STURDX is not responsible for delays or inability to perform caused by events beyond reasonable control, including carrier delays, labor disruptions, natural disasters, or governmental actions.

Governing Law

This Agreement is governed by the laws of the State of Texas.

Entire Agreement

This Agreement and the applicable invoice(s) constitute the entire agreement regarding the Protection Plan and supersede all prior communications, proposals, and representations.

Binding Purchase and Electronic Acceptance

Purchase, payment, renewal, or use of the Protection Plan constitutes electronic acceptance of this Agreement and creates a legally binding contract. A physical signature is not required.
